Compensation, Shareholdings and Loans

Content and determination of compensation and share option plans
Based on proposals made by the Compensation Committee, the Board of Directors

  • determines the amount of the fixed remuneration paid to its members and
  • defines the fixed remuneration and the conditions for the profit-related component for the members of the Group Management.


Compensation of active members of corporate bodies
The following total compensation was paid to active members of the Group's corporate bodies in fiscal 2006/2007:

  • CHF 1,601,920 Members of the Group Management
  • CHF 225,000 Members of the Board of Directors

The above amounts do not include option allocations. For information on the employee share option plan, see pages 28 and 58 of the Annual Report 2006/2007.


Compensation of former members of corporate bodies
To the former Head of the Components and Modules Division was paid a compensation of CHF 146,670 until release. The former Head of the Test Systems Division was paid his usual salary of CHF 36,670 until he left to took over the management of the newly-established Teseq Holding AG.


Compensation on termination of employment contract
A compensation sum amounting to CHF 208,095 was paid on termination of employment contract to the former Head of the Components and Modules Division in the 2006/2007 financial year. The agreement covered compensation within the boundaries of the normal period of notice.


Share allocations
No shares were allocated to members of the Board of Directors or the Group Management in the year under review.


Shareholdings
The members of the Board of Directors and the Group Management held the following number of Schaffner Holding AG registered shares on September 30, 2007:

  • 271 shares Members of the Group Management
  • 3,314 shares Members of the Board of Directors

Options
In fiscal 2006/2007 4,550 options with a strike price of CHF 212 each and 500 options with a strike price of CHF 250 each were issued to members of the Board of Directors and the Group Management.

Additional fees and remuneration
In fiscal year 2006/2007, the Managing Director ad interim was paid a compensation of CHF 140,000 for the period October to March in addition to the standard Board of Directors fee.


Loans to members of corporate bodies
There were no outstanding loans to members of the Group's corporate bodies on the accounting closing date.


Highest total compensation
The compensation package for the highest-paid member of the Board of Directors (incl. Managing Director ad interim) in fiscal 2006/2007 was made up as follows:
